All online purchases made from the www.sajewoman.com website are subject to prior acknowledgement and acceptance of the present terms and conditions of sale.

1.DEFINITION

Item: Products of any kind offered for sale (e-commerce service) on the Site.

Customer: non-trading natural person placing the Order, with full legal capacity.

Order: commitment to purchase all the Items selected by the Customer via the Site’s e-commerce service.

Site: website published by SAJE WOMAN and accessible at www.sajewoman.com

2.PREAMBLE

These general terms and conditions of sale (hereinafter referred to as the “GTCS”) apply exclusively between any Customer and SAJE WOMAN, registered in the Paris Trade and Companies Register under number 891 981 763 00016.

Any Internet user may read the GTC from any page of the Site. The GCS apply without restriction or reservation to all items offered for sale on the Site.

Any Order placed on the Site is subject to the Customer’s prior and unreserved consultation and acceptance of these GTS and the applicable prices. Validation of an Order in accordance with the ordering procedure proposed on the Site implies acceptance of these GCS.

These GCS prevail over any other document.

3.DISCLAIMER

The sale of Products on the Site is exclusively reserved for retail sale to private individuals. Under no circumstances may the Site be used by professional sellers, alone or in groups, regardless of how their products are marketed (e.g. Internet marketplaces, shopping malls, intermediaries, physical stores). The Customer acknowledges

and consequently accepts that items may only be purchased in quantities corresponding to the average needs of a consumer, both in terms of the number of items ordered in a single order and in terms of the number of individual Orders placed for the same product, respecting the usual quantity of an average consumer.

SAJE WOMAN reserves the right to refuse any order that has obviously been placed by a professional vendor.

All customers declare that they are aware of the unreliability of the Internet network, especially in terms of relative security in data transmission, non-guaranteed continuity in access to the Site, non-guaranteed performance in terms of volume and speed of data transmission and the propagation of viruses.

SAJE WOMAN warns each Customer of the need to implement a solution and security measures on their computer or portable or mobile equipment to prevent the propagation of viruses. As the General Terms and Conditions of Sale may be subject to change, the conditions applicable are those in force on the Site on the date the order is placed.

4.ITEM CHARACTERISTICS

The items available for sale are those shown on the Site. Offers are valid as long as they are visible on the Site. They are offered within the limits of the availability displayed on the Site.

SAJE WOMAN reserves the right to withdraw from sale, at any time, any Article present on the Site and/or to replace or modify any information associated with the Articles appearing on this Site.

In the event that an Article is unavailable after an Order has been placed, the Customer will be informed by e-mail, and the Order will then be automatically cancelled.

The characteristics of the Articles sold on the Site (photographs, graphics and descriptions of the Articles, etc.) are given for information only and may vary over time. Only the visual of the Article displayed at the time of the Order must be taken into account by the Customer. In the event of errors or omissions relating to the description of an Article, SAJE WOMAN’s liability is limited to covering the cost of returns via the integrated returns service.

5.ORDERING ITEMS

All orders are subject to payment. The Customer declares that he/she is at least 18 years old and has legal capacity, or if he/she is a minor, guarantees that he/she holds parental authorization to place the Order. Payment of the Order implies acceptance of these General Terms and Conditions, the price of the Articles and the content of the Order. Once payment has been confirmed, SAJE WOMAN will send the Customer an e-mail confirming the Order.

All Orders are subject to prior acceptance by SAJE WOMAN and are only definitively confirmed after the Customer has received an e-mail confirming shipment of the Article(s).

If the Customer does not receive an e-mail following his/her Order, it is the Customer’s responsibility to contact SAJE WOMAN’s customer service department as described in Article 13 of these GTC. SAJE WOMAN cannot be held responsible in the event of a data entry error or transmission of a data entry error that prevents the delivery of the confirmation email and/or the Items. Customers are advised to print out the Order confirmation e-mail. For any questions relating to the follow-up of an Order, the Customer should consult his customer account on the Site or contact customer service as described in Article 13 of these GTS.

Creating a customer account:

The creation of a customer account prior to placing an order on the site is not mandatory. The customer may place an order as a guest or choose to create a customer account.

Any customer over the age of majority may create a customer account free of charge via the “Register” section. A customer account is created by the customer filling in the form with his/her identification data.

This account is strictly personal and enables the Customer to identify him/herself before validating each Order. When creating a Customer Account, the Customer enters his or her identification data under his or her sole responsibility, control and direction, and undertakes to provide complete, accurate and up-to-date information, and not to impersonate any third party, nor to conceal or modify his or her age.

When creating a Customer Account, the Customer chooses a login (email) and password. If the chosen username has already been assigned, the system will prompt the Customer to choose another. IDs and passwords are personal and confidential. The Customer is solely responsible for them.

The Customer undertakes to keep his/her password secret and not to divulge it under any pretext whatsoever. In the event of suspicion of use of the login and password by a third party, the Customer must immediately alert SAJE WOMAN with a view to changing his/her password and/or choosing to have his/her customer account closed.

Closure of a customer account and/or refusal to sell :

The customer is informed of the fact that he can obtain the closing of his account following his first request sent by e-mail to SAJE WOMAN.

SAJE WOMAN reserves the right to close the account of any client and/or to refuse any sale to a client in the following cases :

– Non-payment of one or more previous Orders,

– Abusive, unfair or fraudulent use of the Ordering service offered on the Site or non-compliance with any of the Customer’s obligations as defined in the GTS.

In such a case, SAJE WOMAN will send an e-mail to the address provided by the Customer at the time of creating an account or placing an Order, informing the Customer that his/her login and password have been deactivated and that his/her account has been closed and/or that his/her Order has been rejected.

6.ITEM PRICES

Prices are indicated on the Site in Euros, inclusive of all taxes (VAT), and exclude shipping and handling costs. They include VAT and any reductions applicable on the date of the Order. Any new taxes or contributions, notably environmental, may be passed on to the sale price of the Products. Product prices do not include delivery charges (postage, packaging and parcel preparation according to the amounts in force). The amount of shipping costs is specified on the Site, according to the customer’s choice before validating the Order.

SAJE WOMAN reserves the right to modify the prices of the Products at any time, the Products being invoiced on the basis of the prices in force at the time of validation of each Order. The price of the Articles invoiced is therefore that indicated at the time of the Order. The Products remain the sole property of SAJE WOMAN until full payment has been received, which the customer acknowledges and accepts.

7.ORDER PAYMENT

The price invoiced to the Customer is the price indicated on the Order confirmation sent to the Customer by e-mail. Orders are payable immediately by credit card (CB, Visa, MasterCard, American Express).

Once the Order has been dispatched, the Customer is informed by e-mail that the invoice, including delivery charges and applicable VAT, is available online in the Customer account. Transactions carried out on the Site are entrusted to a secure online payment platform, “STRIPE”.

They are secured by a solution that provides highly secure pages for entering payment data

card number, expiry date and visual cryptogram. This platform encrypts and transmits payment data to the bank in complete confidentiality, making it inaccessible to third parties.

8.DELIVERY CONDITIONS

The Customer will receive an Order number by e-mail, confirming that the order has been successfully processed. The Customer will be informed of the different stages of his Order by e-mail. Shipments will be announced to the Customer by e-mail, to the e-mail address given by the Customer in his/her customer account.

Items ordered will be delivered within a maximum of 30 calendar days from the time the Order is registered, subject to full payment of the price. The Customer is offered a choice of delivery methods, some of which are at the Customer’s expense.

Thanks to the shipping number, the Customer can track the progress of his/her parcel on the website of the carrier chosen by the Customer. The Customer is hereby informed that it is his/her responsibility to provide exactly all the details required for the correct routing of his/her Order and for perfect delivery (access code, access specification, for example).

If the Customer is absent at the time of delivery, a delivery notice will inform the Customer of the procedures for keeping the parcel and making it available, under the sole and exclusive responsibility of the carrier.

If the delivery address provided by the Customer is invalid, resulting in the parcel being returned to SAJEWOMAN due to non-receipt at the address indicated, SAJEWOMAN will not cover the cost of returning the parcel. In this case, the customer has 30 calendar days to contact customer service in order to organize the return of the Order. After this period, the Order will be automatically cancelled: the Customer will be informed by e-mail of the cancellation of this Order. Should the Order be definitively cancelled, the Customer will be reimbursed for the price paid for the Order within 14 calendar days of the cancellation being confirmed by e-mail. A delivery note is included in the parcel, summarizing the Items ordered and actually delivered. The Customer fully and exclusively assumes the risks relating to the Articles as from their delivery.

9.DELIVERY TIMES

The Articles are delivered to the delivery address indicated by the customer at the time of the order at the latest on the date indicated at the time of the order, depending on the country of delivery.

SAJE WOMAN will do its utmost to deliver the order within the time indicated on the order and undertakes to deliver within a maximum of 30 calendar days.

During sales periods, delivery times may be extended.

In the event of a delay in delivery of more than 7 working days in relation to the aforementioned maximum period, the Customer may contact SAJE WOMAN by e-mail to request that delivery be made within a reasonable additional period. In the event of failure to meet this new deadline, the customer may request SAJE WOMAN

by e-mail to cancel the Order. The contract, and thus the sale, will be considered terminated upon receipt by SAJE WOMAN of the e-mail or letter by which the Customer informs SAJE WOMAN of his/her decision, unless delivery has taken place between the sending and receipt of the e-mail or letter from the Customer. Should the Order be definitively cancelled, the Customer will be reimbursed for the price paid for the Order within 14 calendar days of the cancellation being confirmed by e-mail. In the event that the Customer receives the parcel after the Order has been cancelled, the Customer must return the parcel using the pre-paid return service. SAJE WOMAN will proceed with the reimbursement of the Articles, upon receipt of all of them in their perfect original condition.

Each delivery is deemed to have been made as soon as the package has been made available to the Customer, in particular by the carrier, as evidenced by the control system used by the carrier. If the parcel is damaged or if the Article does not correspond to the Customer’s Order, the Customer must initiate the returns procedure described in Article 10 below within 14 calendar days of receipt of the Order.

If the delivery dates of several items on the same Order differ, the delivery date is based on the date furthest from the Order date.

10.RETURNS

In the event of delivery of an Article that does not correspond to the Customer’s Order, or of a defect linked to transport, the Customer may return the said Article to SAJE WOMAN by following the procedure set out below and accessible on the Site. Only a refund will be offered for a return. If you wish to exchange an item, please place a new order. Once the returned items have been checked, SAJE WOMAN undertakes to process the Customer’s return as quickly as possible and at the latest within thirty (30) calendar days of the date of receipt of the return package. The refund will be made to the Customer’s bank account or payment account used to pay for the Items.

Here are the return procedures:

1- Whether you are in France or abroad, pack your items in their original packaging, along with your delivery slip showing your order number.

Return items via the carrier of your choice, taking care to choose a tracking service. No claim can be made without a tracking number, as the return is the customer’s responsibility.

2- Your refund will be made within 72 hours of receipt of the return.

Outside the European Union, SAJE WOMAN will not be able to reimburse sales and customs taxes; however, the customer may attempt to recover these sums by contacting the nearest customs office. As this procedure is not valid in all countries, SAJE WOMAN recommends using a customs broker if the customer wishes to recover taxes related to a returned item.

Returned products must be sent to SAJE WOMAN in a single shipment. SAJE WOMAN reserves the right not to accept items from the same order returned and shipped at different times. If you made an express purchase without creating an account, you should have received an e-mail with a temporary password. Use it to log in to the “returns” section.

Only new, unworn and undirty products will be refunded. The item must be returned in its original packaging (the plastic “SAJE WOMAN” pouch) and accompanied by the garment label. If the products are new, unworn, unwashed and undirty, the customer’s return will be processed without further action (refund), within 14 days of receipt of the parcel.

The refund equivalent to the sum of the items returned will be made via the method of payment chosen for the order. The SAJE WOMAN gift box cannot be returned with the other items in the order. It is therefore non-refundable.

11.RIGHT OF WITHDRAWAL

In accordance with EU Directive 2011/83/EU of the European Parliament and of the Council of 25 October 2011 on consumer rights in distance selling contracts, as transposed in the Customer’s country, the Customer has the right to cancel the order at any time within 14

calendar days following the date on which he/she received the products. The Customer therefore has a period of 14 calendar days from receipt of his Order to exercise his right of withdrawal, without having to justify his decision or pay any penalties. Once the returned Products have been checked, SAJE WOMAN undertakes to reimburse the Customer for all sums paid for the Order, except for the gift box and delivery costs, as soon as possible and at the latest within thirty (30) calendar days following the date of receipt of the return package, to the Customer’s bank account or payment account used to pay for the Products.

   

12.CUSTOMER SERVICE

For any information or question, for order tracking, or to invoke the warranty, the Customer must contact customer service by email by filling out the contact form located on the contact page of the site or by writing to contact@sajewoman.com.

13.GUARANTEES

The Articles are guaranteed against defects of conformity and redhibitory defects under the conditions set out in Articles 1641 to 1649 of the French Civil Code and L 211-1 et seq. of the French Consumer Code, as from delivery: – Article 1641 of the French Civil Code: the seller is bound by the warranty for hidden defects in the item sold, which render it unfit for its intended use, or which reduce this use to such an extent that the buyer would not have purchased it, or would only have paid a lower price for it, if he had been aware of them.

– Article 1648 paragraph 1 of the French Civil Code: the action resulting from redhibitory defects must be brought by the purchaser within two years of discovery of the defect.

– Article L 211-4 of the French Consumer Code: the seller is required to deliver goods in conformity with the contract, and is liable for any defects in conformity existing at the time of delivery. He is also liable for defects in conformity resulting from the packaging, assembly instructions or installation when the latter has been made his responsibility by the contract or has been carried out under his responsibility.

– Article L 211-5 of the French Consumer Code: to conform to the contract, the goods must :

1/ Be fit for the use normally expected of similar goods and, where applicable :

– correspond to the description given by the seller and possess the qualities that

present the qualities that a purchaser may legitimately expect in view of the public statements made by the seller, the producer or his representative, particularly in advertising or labelling;

2/ Or present the characteristics defined by mutual agreement between the parties, or be suitable for any special use sought by the buyer, brought to the attention of the seller and accepted by the latter.

 

– Article L 211-12 of the French Consumer Code: any action resulting from a lack of conformity must be brought within two years of delivery of the goods.

This warranty entitles the Customer to return defective or non-conforming Products for reimbursement under the aforementioned conditions.

14.AGREEMENT ON PROOF

The Customer acknowledges and accepts that the systems used to record the Order constitute proof of all transactions between SAJE WOMAN and the Customer. The Customer acknowledges and accepts that proof of acceptance of the General Terms and Conditions of Sale is characterised by ticking the words “I have read and accept the General Terms and Conditions of Sale”.

To this end, the Customer acknowledges and agrees that the computerized data stored on SAJE WOMAN’s computer servers in reasonable conditions of security and integrity shall be irrefragably considered as proof of acceptance of the terms of the GTCS and proof of all transactions between SAJE WOMAN and the Customer. SAJE WOMAN will archive Purchase Orders and invoices on a reliable and durable medium, in accordance with the provisions of Article 1348 of the French Civil Code, and guarantees access to the Customer at any time upon request, in accordance with the provisions of Article L. 134-2 of the French Consumer Code. Consequently, unless SAJE WOMAN’s manifest error is proven by the Customer, the latter may not contest the admissibility, validity or evidential value of the GTC and the content of the Order, on the basis of any legal provision whatsoever which specifies that certain documents must be written or signed to constitute proof.

Thus, these elements constitute proof and, if they are produced as means of proof by SAJE WOMAN in any litigation or other proceedings, will be admissible, valid and opposable in the same way, under the same conditions and with the same probative force as any document that would be established, received or kept in writing.

At any time, the customer may print, download and keep a copy of the General Terms and Conditions of Sale on paper or electronically.

15.LIABILITY

SAJE WOMAN reserves the right to modify the information contained in this Site at any time and without prior notice. SAJE WOMAN undertakes to describe the Articles sold on the Site as accurately as possible and to ensure that the information published on the Site is updated to the best of its ability. However, SAJE WOMAN cannot guarantee the accuracy, precision or completeness of the information made available to Customers on the Site. SAJE WOMAN shall not be held liable for any insubstantial differences between the photographs, texts and illustrations presenting the Articles on the Site and the Articles ordered.

The Customer acknowledges and accepts that the prices of the Items may vary between the Website and the stores, and that under no circumstances may this price difference be the basis for a request for reimbursement, either total or partial, of the Items purchased either on the Website or in the stores.

SAJE WOMAN may not be held liable in the event of a breach of any of its contractual obligations resulting from a fortuitous event or a case of force majeure as defined by case law handed down by the French courts.

In particular, SAJE WOMAN shall not be held liable for any non-performance or delay in the performance of Orders caused by events beyond its control (“Force Majeure”).

A Force Majeure Event includes any act, event, non-performance, omission or accident beyond the control of SAJE WOMAN and includes in particular (without limitation):

Strikes, shutdowns or other industrial actions.

Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (declared or undeclared), or threat or preparation for war.

Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster.

Inability to use rail, sea, air, road or other means of private or public transport.

Inability to use public or private telecommunications networks.

Acts, decrees, legislation, regulations or restrictions of any government.

Strikes, failures or accidents in maritime, postal or other transport.

Performance of the GTC shall be suspended for as long as the Force Majeure lasts, and performance and delivery deadlines shall be extended accordingly. SAJE WOMAN will do its utmost to put an end to the Force Majeure or to find a solution enabling it to perform its contractual obligations despite the Force Majeure.

SAJE WOMAN shall only be liable for any direct damage foreseeable at the time of use of the Site or the conclusion of the sales contract with the Customer, to the exclusion of any indirect damage.
